Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement (collectively, the "Terms") govern your access to and use of the Tecton Audit web application, application programming interfaces, and related services (collectively, the "Service") operated by Tecton Audit ("Tecton Audit," "we," "us," or "our").

By creating an account, clicking "I agree," or otherwise accessing the Service, you represent that you have authority to bind yourself and, if applicable, your employer or organization, and you accept these Terms. If you do not agree, do not use the Service.

Subject to your compliance with these Terms and payment of applicable fees, Tecton Audit grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for internal insurance supplement auditing, estimate review, and related professional workflows within your organization.

You may not:

• Reverse engineer, decompile, or attempt to derive source code from the Service;
• Resell, sublicense, or provide the Service to third parties as a standalone offering;
• Use the Service to build a competing product or to train external machine-learning models;
• Upload unlawful content, malware, or material you do not have rights to process;
• Circumvent usage limits, credit controls, authentication, or security measures;
• Misrepresent platform-generated outputs as guaranteed, insurer-approved, or legally binding determinations.

You must provide accurate registration information and maintain the confidentiality of your credentials. You are responsible for all activity under your account. Notify us promptly at the contact address below if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms, present security risks, or remain inactive for an extended period, subject to applicable notice requirements.

Tecton Audit provides software tools that analyze insurance estimate documents, technician teardown notes, and optional vehicle imagery to identify potential omitted line items, revenue opportunities, and OEM-related operations. Outputs are generated in part through secure enterprise processing networks and analytical language architecture.

Important: The Service provides analytical guidance only. It does not replace licensed appraisers, OEM procedures, carrier negotiations, legal counsel, or your professional judgment. You are solely responsible for verifying scans, calibrations, parts, labor operations, and billing decisions before submitting supplements to insurers or customers.

You retain ownership of documents, notes, photos, and other materials you upload ("Customer Content"). You grant Tecton Audit a worldwide, royalty-free license to host, process, transmit, and display Customer Content solely to operate, secure, and improve the Service, including invoking subprocessors such as cloud infrastructure and secure enterprise processing network partners.

You represent that you have all rights necessary to upload Customer Content and that its processing under these Terms will not violate applicable law or third-party rights.

Certain features require payment. All commercial tiers include Full System Workspace Access. Teardown photo capacity varies by tier:

• Pay-As-You-Go — $0/mo base fee; 2 Free Initial Credits Included; Photo & Teardown Analysis (Max 3 Images); $5.00 per individual credit.
• Pro Auditor — $49/mo subscription; Includes 30 Audit Credits/mo; Photo & Teardown Analysis (Max 3 Images); Discounted add-on credits ($3/each).
• Elite Shop — $99/mo subscription; Includes 100 Audit Credits/mo; Premium Photo & Teardown Analysis (Max 6 Images); Wholesale add-on credits ($1.50/each).

The feature lists on our Pricing page mirror Pay-As-You-Go, Pro Auditor, and Elite Shop entitlements and may change with notice. Pay-As-You-Go and Pro Auditor accounts may upload up to three (3) teardown photos per audit; Elite Shop accounts may upload up to six (6) premium teardown photos per audit. Subscription upgrades reset included monthly audit credits to the tier allocation (30 for Pro Auditor, 100 for Elite Shop). Individual add-on credit purchases increment your balance by one credit at the rate for your active tier.

Paid subscriptions and one-time credit purchases are processed through Stripe. By purchasing, you authorize us and Stripe to charge your selected payment method. Subscriptions renew on each billing cycle until canceled through your billing settings or Stripe customer portal. Except where required by law, fees are non-refundable once an audit credit is consumed or a billing period has begun.

Audit credits are consumed only after a successful compliance audit completes, as implemented in the product at the time of use. Failed or canceled analyses should not deduct credits, though we reserve the right to investigate abuse of this policy.

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect such information and will use it only for purposes related to the Service. This obligation does not apply to information that is publicly available, independently developed, or lawfully obtained from a third party without restriction.

Tecton Audit owns all rights, title, and interest in the Service, including software, branding, documentation, and aggregated, de-identified usage analytics. No rights are granted except as expressly stated in these Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECTON AUDIT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ERROR-FREE, COMPLETE, OR ACCEPTED BY ANY INSURER, ADJUSTER, OR REGULATOR.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECTON AUDIT AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, SUPPLEMENT DENIALS, REPAIR DEFECTS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TECTON AUDIT IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

You will defend, indemnify, and hold harmless Tecton Audit and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your use of the Service, your violation of these Terms, or your violation of applicable law or third-party rights.

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay fees, or if continued provision creates legal or security risk. Upon termination, your license ends and we may delete account data according to our Privacy Policy and applicable retention schedules.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory consumer protections in your jurisdiction apply. Parties agree to attempt good-faith resolution before initiating formal proceedings. Where permitted, exclusive jurisdiction lies in the state or federal courts located in Delaware.

We may update these Terms from time to time. If changes are material, we will provide notice through the Service or by email before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
